Terms of Service

These Terms of Service govern your access to and use of reAImagine Talent, a talent marketplace platform operated by Shim Partners Management Consultancy FZCO, a company registered in the International Free Zone Authority (IFZA), Dubai, United Arab Emirates (“Shim Partners”, “we”, “us”, or “our”).

By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

1. The platform

reAImagine Talent is a two-sided marketplace connecting organisations seeking interim, fractional, and advisory talent (“Clients”) with senior professionals offering those services (“Candidates”). The platform also provides an expert consultation layer enabling anonymised, structured knowledge engagements (“Confidential Mode”).

We are a technology platform. We do not employ Candidates, and we are not a party to any engagement or contract entered into between a Client and a Candidate through the platform. All commercial terms of an engagement are agreed directly between Client and Candidate.

2. Eligibility

You must be at least 18 years old and legally permitted to enter binding contracts in your jurisdiction. By using the platform, you represent and warrant that you meet these requirements.

Organisations using the platform as Clients must have the authority to bind the organisation to these Terms.

3. Accounts

You are responsible for maintaining the security of your account credentials. You must notify us immediately at legal@reimagine.work if you suspect unauthorised access. We are not liable for losses resulting from unauthorised use of your account.

You may not create accounts for others without their consent, use false information, or operate multiple accounts for the same individual or organisation.

4. Candidate terms

As a Candidate, you agree to:

  • Provide accurate and truthful information in your profile, including credentials, experience, and availability.
  • Honour referee and credential verification requests in a timely manner.
  • Notify us promptly if your availability or engagement status changes materially.
  • If you enable Confidential Mode, maintain strict confidentiality regarding all client-related information disclosed during expert consultations, whether or not you accept a specific engagement.
  • Declare any conflict of interest before accepting a consultation or placement engagement.

A monthly subscription fee of USD 5 applies to maintain a published profile on the platform. This fee is charged via Paddle, our payment provider, which acts as Merchant of Record.

5. Client terms

As a Client, you agree to:

  • Use the platform solely for legitimate talent search and expert consultation purposes.
  • Pay the applicable search query fee (USD 10 per search) at the time of each query.
  • Pay the platform success fee (8% of total contract value) upon confirmation of a placement. This fee is calculated on the agreed contract value and is due on each milestone or monthly payment as applicable.
  • Not attempt to contact, engage, or contract with Candidates identified through the platform outside of the platform during the term of your account and for 12 months thereafter, except where a placement has been completed and the success fee has been paid.
  • Maintain confidentiality of all information shared by Candidates during Confidential Mode consultations.

6. Confidential mode

The Confidential Mode feature enables expert consultations in which both parties are anonymised. The platform assigns masked identifiers to each party and proxies all communications. Neither party will attempt to identify the other or share identifying information during a Confidential Mode engagement without the explicit mutual consent process provided on the platform.

All Confidential Mode sessions are subject to an auto-generated non-disclosure agreement, which both parties accept before the Stage Room opens. Session transcripts are retained by the platform for 30 days for dispute resolution purposes and then permanently deleted.

The platform takes a 20% service fee on all Confidential Mode consultation payments. Payments are processed in real time via Paddle upon session completion.

7. Prohibited conduct

You must not:

  • Post false, misleading, or fabricated credentials or experience.
  • Use the platform to solicit or facilitate illegal activity.
  • Attempt to circumvent the platform's success fee by engaging directly with parties identified through the platform.
  • Scrape, extract, or systematically copy platform data.
  • Interfere with the platform's technical infrastructure.
  • Use the platform to discriminate against individuals on the basis of protected characteristics.

8. Intellectual property

The platform, including its AI matching engine, design, and all content produced by the platform, is owned by Shim Partners or its licensors. You may not reproduce, distribute, or create derivative works without our written consent.

You retain ownership of your profile content and any materials you upload. By posting content on the platform, you grant Shim Partners a non-exclusive, royalty-free licence to display and process that content for the purpose of operating the platform.

9. Payments and fees

All payments are processed by Paddle.com Market Limited (“Paddle”), who acts as Merchant of Record. By making a purchase, you agree to Paddle's terms and conditions. Shim Partners does not store payment card information.

All fees are stated in US Dollars and are exclusive of any applicable taxes. Paddle is responsible for collecting and remitting applicable VAT and sales taxes in jurisdictions where required.

10. Limitation of liability

To the maximum extent permitted by applicable law, Shim Partners is not liable for: any indirect, incidental, special, or consequential damages; losses arising from engagements between Clients and Candidates; the accuracy of AI-generated profile summaries or match rankings; or the conduct of any user on or off the platform.

Our total liability to you for any claim arising out of or relating to these Terms or the platform shall not exceed the total fees paid by you to the platform in the 12 months preceding the claim.

11. Governing law and jurisdiction

These Terms are governed by the laws of the United Arab Emirates. For users based in the UAE, disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

For users based outside the UAE, disputes may also be resolved under the laws of the user's country of residence, to the extent required by mandatory consumer protection provisions applicable in that jurisdiction. Nothing in these Terms limits your rights under the mandatory laws of your country of residence.

12. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email at least 14 days before the changes take effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
